DescriptionAVIATION FUEL SUPPLY ARRANGEMENT FOR PAL EXPRESS (FORMERLY AIRPHIL EXPRESS)

Introduction

Petron Malaysia Refining & Marketing Bhd (formerly known as Esso Malaysia Berhad) (“PMRMB”) refers to its announcement dated June 20, 2012 in relation to its one-year arrangement to supply aviation fuel to its related company under the airline name ‘AirPhil Express’, at the Kuala Lumpur International Airport’s Low Cost Carrier Terminal (“KLIA/LCCT”). AirPhil Express subsequently re-branded its airline name to PAL Express.

PMRMB is pleased to announce that it has been awarded the contract to refuel PAL Express aircrafts operating from KLIA/LCCT for one year effective from June 21, 2013.

Agreement

The formal agreement between PMRMB and Air Philippines Corporation (PAL Express’ operator) is yet to be executed but the terms of the arrangement are based on PMRMB’s standard terms for aviation fuel supply consisting of the Agreement for Aviation Fuel Supply (Part 1), International Air Transport Association-based General Terms and Conditions for Aviation Fuel Supply (Part 2) and the Location Agreement (ie for supply at KLIA/LCCT) – the same set of agreements PMRMB uses in relation to all other airlines which are its customers. Consistent with aviation industry practice, the agreements on said terms will be crystalised by conduct between the parties on June 21, 2013 when a PAL Express aircraft is re-fueled by PMRMB for the first time at KLIA/LCCT under the new arrangement. Therefore the agreement will be deemed to have commenced (by conduct) on June 21, 2013.

The arrangement (and the agreements) (“Arrangement”) will be for the duration of 1 year commencing from June 21, 2013 to June 20, 2014.

Consideration

The total consideration is valued at approximately RM3.899million. The highest ‘percentage ratio’ calculated pursuant to paragraph 10.02(g) of the Main Market Listing Requirements is 0.43%. The consideration is based on PMRMB’s standard aviation supply pricing for the type of volume the Arrangement envisages. Further, each consignment of aviation fuel supplied at the refueling of a PAL Express aircraft will be based on the rates then published by the oil industry standard Platts Marketscan.

The consideration is not expected to have a significant impact on PMRMB’s financial position. However, for PMRMB, this will mark the continuation of its business relationship with the airline in KLIA/LCCT and help build PMRMB’s reputation as a reliable aviation fuel supplier at KLIA/LCCT.

PMRMB is not expected to increase its investments in equipment to perform its obligations under the Arrangement as it has the necessary assets at KLIA/LCCT that can be effectively utilised for said purpose.

Related Parties

PMRMB and Air Philippines Corporation have a common (indirect) major shareholder and common Directors.

Petron Oil & Gas International Sdn. Bhd. (“POGI”) directly owns 73.4% of the paid up capital and voting shares in PMRMB. POGI is an indirect wholly-owned subsidiary of Petron Corporation that is, in turn, 68% directly and indirectly owned by San Miguel Corporation (“SMC”).

SMC has an indirect 49% shareholding in Zuma Holdings and Management Corporation, which in turn controls a majority of the voting shares in Air Philippines Corporation.

Further PMRMB’s Chairman and Chief Executive Officer, Mr. Ramon S. Ang and PMRMB’s Executive Director, Ms. Aurora T. Calderon are members of the Board of Directors of Air Philippines Corporation.

However, to manage any potential conflict of interests, neither Mr. Ramon S. Ang nor Ms. Aurora T. Calderon was involved in any negotiations or decisions leading to the finalisation of the terms of the Arrangement between the parties.

Transaction with the same party in the preceding 12 months

There was a recurrent related party transaction from June 20, 2012 to June 19, 2013 in relation to the supply of aviation fuel to AirPhil Express (later renamed PAL Express). The details of the aviation fuel supply arrangement are as announced to Bursa Malaysia Securities Berhad on June 20, 2012 and clarified further by a Reply to Query dated June 22, 2012. There have been no other arrangements (related party transaction or otherwise) between PMRMB and the same party in the preceding 12 months.

Decision by the Board Audit Committee / Board of Directors

The Board Audit Committee of PMRMB, by a Circular Resolution dated June 19, 2013, considered the matter, and formed the following views:

1. The decision to enter into the Arrangement was in the best interest of PMRMB as it is able to retain its presence in the highly competitive aviation fuel supply environment at the KLIA/LCCT and this presence will help potential growth of the business sector for PMRMB.

2. The Arrangement is fair, reasonable and on normal commercial terms as PMRMB was one of several bidders invited by the airline to bid for the supply arrangements. The pricing agreed upon was in PMRMB’s best interest and fair in that it is comparable with the airline industry fuel supply pricing. The terms of the Arrangement are also standard terms used with other airlines for which PMRMB is an aviation fuel supplier.

3. The Arrangement is not detrimental to the interests of the minority shareholders of PMRMB and the continued presence of PMRMB in the KLIA/LCCT aviation fuel supply arena has much potential for future growth of PMRMB, and, in return, the interest of all shareholders of PMRMB.

The Board of Directors, by a Circular Resolution dated June 20, 2013 formed the view that the Arrangement was in the best interest of the Company and further concurred with the views of the Board Audit Committee as stated above.

Mr. Ramon S. Ang and Ms. Aurora T. Calderon had, however, abstained from any participation in the decision making process of the Board of Directors of PMRMB in regard to the above.

Shareholder / Regulatory approvals

No shareholder or regulatory approval is required by PMRMB to enter into the said Arrangement/agreements.

On behalf of the Board of Directors of TRB, RHB Investment Bank Berhad wishes to announce that the petition to the High Court of Malaya at Kuala Lumpur ("High Court") to confirm the Par Value Reduction pursuant to Section 64 of the Companies Act, 1965 ("Petition") as approved by the shareholders of TRB at the extraordinary general meeting held on 11 April 2013 was filed by TRB on 31 May 2013 via its legal counsel, and the High Court had on 20 June 2013 ordered for the Petition to be heard on 10 July 2013.
