We refer to our announcements made on 8 February 2013 and 28 March 2012 in relation to the execution of a Shareholders Agreement between our wholly-owned subsidiary, Old Town (M) Sdn Bhd (Company No. 784001-A) and Year Full Group Limited for the establishment of a joint venture company in Hong Kong Special Administrative Region and the incorporation of the joint-venture company known as OTK (HK) Investment Limited (“OTK (HK)” ) on 26 March 2013 respectively .
The Board of Directors of Oldtown wishes to announce that Kopitiam Asia Pacific Sdn Bhd (Company No. 196428-X) (“KAP”), a wholly-owned subsidiary of Oldtown has executed a License Agreement (Central Kitchen) with OTK (HK) on 11 April 2013 for the appointment of OTK (HK) as the Territorial Licensee within the territory of Guangdong Province of the People’s Republic of China and Macau (“the Territory”) with the exclusive right to operate the centralized food production facilities (“Central Kitchen”) within the Territory and a non-exclusive right to use the Trade Mark and Trade Name of OLDTOWN WHITE COFFEE and OLDTOWN WHITE and the operation and business system developed in connection with the operation of the Central Kitchen to supply and produce approved products within the Territory. The said License Agreement is valid for a period of five years from the date of the agreement and may be renewed for a further two terms of five years each.
KAP, the operator of the franchised restaurant business under the name of OLDTOWN WHITE COFFEE, had in July 2012 entered into Central Kitchen Licensing Agreements with Emperor’s Kitchen Sdn Bhd (Company No. 700643-U) and Esquire Chef Sdn Bhd (Company No. 755476-W) (both are wholly-owned subsidiaries of Oldtown) to formalise the appointment of KAP as the elected representative for transfer of knowledge and consultant for the setting up of Central Kitchen facilities in overseas territories.
With the execution of License Agreement (Central Kitchen) between KAP and OTK HK, it will authorise the transfer of knowledge and usage of the Trade Name, Trade Mark and system for operation of the Central Kitchen to OTK (HK) to operate the Central Kitchen within the Territory. OTK (HK) will be establishing a wholly-owned foreign enterprise (“WOFE”) in the territory of Guangdong, China for the setting up of the Central Kitchen Business to support the development of the licensed OLDTOWN WHITE COFFEE shops in the territory of South China, People’s Republic of China.
The execution of the License Agreement (Central Kitchen) between KAP and OTK (HK) is not expected to have any material effect on the earnings or net assets of Oldtown and its subsidiary companies for the financial year ending 31 March 2014.
The interests of the substantial shareholders of OLDTOWN, Mr Lee Siew Heng, Mr Goh Ching Mun and Madam Chin Lai Yoong, who are also directors of OLDTOWN are as follows:
