Description	KECK SENG (MALAYSIA) BERHAD (“KSM”) - Litigation involving a subsidiary company, KSD Enterprises Ltd and Unit Park Airport Inc.
Further to the announcements made on 3 May 2010 and 4 May 2010 with regards to the above subject, the Board of Directors of KSM wishes to announce that KSD Enterprises Ltd (“KSD”), a wholly-owned subsidiary of KSF Enterprises Sdn Bhd in which KSM owns 50.01% shares and Unit Park Airport Inc. (“UPA”) have entered into a settlement agreement (“Settlement Agreement”) in respect of the legal suit initiated by UPA against KSD in the Ontario Superior Court of Justice at Toronto. Under the terms of the Settlement Agreement, KSD will pay to UPA the sum of C$1,570,000 (approximately RM4,700,000) inclusive of interest and costs, plus HST of C$204,100 within twenty-one (21) days from 5 April 2013, the effective date of the Settlement Agreement. The solicitor of KSD has confirmed that the exchange of documents was carried out on 9 April 2013 (Toronto time), and the Settlement Agreement is binding on the parties with effect from 9 April 2013 (Toronto time). Financial and Operational Impact The Settlement Agreement and the sum of C$1,570,000 are not expected to have any material impact on the financial position and business operations of the Group.
