Power Root Berhad ("Power Root" or "the Company")
wishes to announce that its subsidiary, Power Root Nnergy Sdn. Bhd. has
increased its authorised share capital from RM500,000 to RM10,000,000 and its issued
and paid up capital from RM500,000 to RM8,000,000 by way of allotment of 7,500,000
ordinary shares of RM1.00 each (“Increase in Share Capital”). PRNN is
principally engaged in the business of property development.
Notes: * The shares
allotment for the Increase in Share Capital to Power Root Berhad was satisfied
by way of capitalisation of amount owing to holding company.
# By way of cash. Other than the above, the Increase in Share Capital is not expected to have a material effect on the net assets, earnings, share capital, dividend and gearing of Power Root for the financial year ending 28 February 2013. Other than Mr. Wong Tak Keong who is a director and shareholder of Power Root ME FZCO, a 90% owned subsidiary of Power Root, none of the Directors and/or major shareholders of Power Root and/or persons connected to them have any interest, direct or indirect, in the Increase in Share Capital. JSB was incorporated on 10 September 2012 in Malaysia as a private limited company under the Companies Act 1965 and has an authorized share capital of RM500,000 divided into 500,000 ordinary shares of RM1.00 each of which 200,000 shares has been issued and fully paid-up. JSB is principally engaged in the business of Information Technology related products and services. JSB will be an associated company of Power Root. Other than Mr. See Thuan Po who is appointed as a director of JSB as the Board Representative of Power Root Berhad, none of the Directors and/or major shareholders of Power Root and/or persons connected to them have any interest, direct or indirect, in the Subscription.
