We refer to the announcements made by Sunway Holdings Berhad (prior to its de-listing on 23 August 2011) dated 21 September 2010, 26 October 2010 and 15 November 2010 in relation to the CP/MTN Programme. The Board of Directors of Sunway wishes to announce that Sunway has on 30 November 2012, entered into the following agreements: a) Supplemental Trust Deed with CIMB Islamic Trustee Berhad (formerly known as CIMB Trustee Berhad) (“Trustee”) for the purpose of amending the definition of “CPs Limit” in Clause 1.1 by substituting with “up to the maximum aggregate amount of Ringgit Malaysia Five Hundred Million (RM500,000,000) only in nominal value” and substituting the words “Series” with “MTNs issued and outstanding” in Clause 11.1(2)(z)(i)(.2) and Clause 11.1(2)(z)(iii)(.1) of the Trust Deed dated 26 October 2010 as amended and restated on 16 August 2011; . b) Supplemental Programme Agreement with RHB Investment Bank Berhad (as the Lead Arranger), HSBC Bank Malaysia Berhad (as the Facility Agent) and RHB Investment Bank Berhad and OCBC Bank (Malaysia) Berhad (as the Joint Lead Managers) for the purpose of amending the definition of “CPs Limit” in Clause 1.1 of the Existing Programme Agreement dated 26 October 2010 as amended and restated on 16 August 2011 by substituting with “up to the maximum aggregate amount of Ringgit Malaysia Five Hundred Million (RM500,000,000) only in nominal value”; and c) Supplemental Assignment and Charge over DSRA with the Trustee for the purpose of amending Clause 6.2(c)(ii) and Clause 6.2(d)(i) of the Existing Assignment and Charge over DSRA dated 16 August 2011 by substituting the word “Series” with “MTNs issued and outstanding”.
