We refer to the announcements dated 15 August 2012, 16 August 2012 and 11 October 2012 made by RHB Investment Bank on behalf of the Board in relation to the Proposals. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the aforesaid announcements. On behalf of the Board, RHB Investment Bank and Newfields wish to announce that the Company had on 30 October 2012 entered into a discharge and termination agreement with the Vendors for the termination of the SSA as StemLife and the Vendors have not been able to reach an agreement on certain matters arising from StemLife’s due diligence inquiries on TAG Group. The termination of the Proposed Acquisition will not have any material impact on StemLife’s earnings per share or net assets per share for the financial year ending 31 December 2012. Notwithstanding the above, the Company will proceed with the Proposed Bonus Issue as the Proposed Acquisition and Proposed Bonus Issue are not conditional upon each other. However, the Company will not proceed with the Proposed Amendments and the Proposed IASC as the authorised share capital of the Company as at 30 October 2012 is sufficient to accommodate the Proposed Bonus Issue with the termination of the Proposed Acquisition.
