Further to the announcement made by the Company on 12 October 2012, the Board of Directors of SBGB wishes to announce that the Kuala Lumpur High Court has on 29 October 2012 granted leave pursuant to Section 176(10) of the Companies Act 1965 to BK Fleet Management Sdn Bhd (“BKFM”) to commence a civil suit against the Company’s subsidiary, Stanson Marketing Sdn Bhd (“SMSB”) in respect of certain trucks and the accounts in relation thereto until disposal of the suit in the High Court of Malaya subject to inter alia, the following conditions: (a) BKFM shall not execute or enforce any judgment obtained thereon unless with further leave of the Court in the event a restraining order under Section 176(10) of the Companies Act 1965 subsists, and shall not execute or enforce such part of the judgment which comes under the proposed scheme of arrangement unless the proposed scheme of arrangement has been rejected by the scheme creditors or is not approved by the Court; and (b) BKFM first returning to SMSB 8 trucks taken from SMSB on 21 September 2012.
