II. DISPOSAL OF PROPERTY BY TMC PROPERTIES SDN. BHD., A WHOLLY OWNED SUBSIDIARY OF TMC TO THE PURCHASER FOR A CASH CONSIDERATION OF RM11,000,000.

The Board of Directors of TMC wishes to announce that the Purchaser had exercised its rights for the extension of time to 8 December 2012 to complete the acquisitions in accordance with the Share SPA and Property SPA. The Company and TWSH have, pursuant to Clause 2.2(b) of the Share SPA, received the interest of RM10,000 from the Purchaser in consideration of granting the said extension, today.

Malayan Banking Berhad (“Maybank”) wishes to announce that one of its subsidiaries, Peram Ranum Berhad (“Peram Ranum”) held an Extraordinary General Meeting (“EGM”) on 1November 2012 whereby it was resolved that Peram Ranum be wound up voluntarily.

Peram Ranum, a dormant company,�is wholly owned by Maybank Ageas Holdings Berhad (MAHB) (formerly known as Mayban Ageas Holdings Berhad). Etiqa International Holdings Sdn. Bhd. (EIHSB) in turn holds 69.05% interest in MAHB.EIHSB is a wholly-owned subsidiary of Maybank. The shareholder of Peram Ranum had also at the EGM approved the appointment of Ms. Chua Siew Chuan as the liquidator.

The voluntary winding-up of Peram Ranum is not expected to have any material effect on the earnings and net tangible assets of the Maybank Group.None of the Directors or substantial shareholders of Maybank or persons connected to them has any interest in the voluntary winding-up.
