The Board of Directors of AMMB Holdings Berhad (“AHB”) is pleased to announce that following the approval of the Minister of Finance and Bank Negara Malaysia, AHB has, on 14 September 2012, entered into an agreement with its wholly-owned subsidiary, AMFB Holdings Berhad (“AMFB”), for the transfer of the 100% equity interest held by AMFB in AmBank (M) Berhad (“AmBank”) to AHB (the “Internal Transfer”). The Internal Transfer is a shareholding reorganisation exercise to make AmBank a direct 100% held subsidiary of AHB, in line with AHB’s current direct 100% shareholding in AmIslamic Bank Berhad and AmInvestment Bank Berhad. The shareholding reorganisation exercise does not have any effect on the share capital and, consequently, shareholdings of the substantial shareholders of AHB, or the consolidated earnings, gearing, net assets and capital adequacy position of AHB Group.
