1. INTRODUCTION The Board of Directors of Borneo Oil Berhad ("BOB") is pleased to announce that SB Franchise Management Sdn Bhd , a wholly owned sub-subsidiary of BOB has incorporated SugarBun Pty Ltd ("SBPL") as its wholly owned subsidiary. 2. INFORMATION ON SBPL SBPL is a shelf Company which was incorporated on 10th September 2012 bearing Australian Company Number 160273978. The Company is registered in Victoria under the Corporations Act 2001. SBPL is limited by shares and is a proprietary Company with an issued and paid-up share capital of AUD12.00 , comprising of 12 ordinary shares of AUD1.00 each . Following this subscription ,SBPL intends to increase the paid up share capital to AUD100,000.00 . 3. RATIONALE FOR THE SUBSCRIPTION SBPL was incorporated as a vehicle for SB Franchise Management Sdn Bhd's("SBFM") possible entry into Australia to expand its fast food franchise and related businesses. This subscription is to complement the Group's existing business in expansion of franchising and fast food related activities. 4. FINANCIAL EFFECT OF THE SUBSCRIPTION The said subscription which was paid in cash has no effect on the issued and paid up share capital and substantial shareholdings structure of BOB as well as the net tangible assets and earnings of the Group for the financial year ending January 2013. 5. APPROVAL REQUIRED The said subscription does not require the approval of any relevant authorities. 6. DIRECTORS AND SUBSTANTIAL SHAREHOLDERS' INTEREST None of the Directors and substantial shareholders of BOB and persons connected with them has any interest, direct or indirect in the said incorporation. 7. STATEMENT BY THE BOARD OF DIRECTORS The Board of Directors is of the opinion that the said subscription is in the best interest of the Company and the Group. 8.
