The registered share capital of CHSWIC is USD300,000 divided into 300,000 ordinary shares of USD1.00 each.� As at the date of this announcement, CHSWIC has an issued and paid up share capital of USD300,000.� The directors of CHSWIC are Dato’ Lim Khoon Heng, Lim Kean Seng and Nicholas Lim Kean Hoong. The intended principal activity of CHSWIC is to manufacture and supply steel wire products for the construction industries. 3. Effects of the Incorporation The incorporation of CHSWIC is not expected to have any material effects on the net tangible assets or earnings of the Company for the financial year ending 31 December 2012. 4. Approvals Required The incorporation is not subject to the approval of the shareholders of the Company and any regulatory authorities. 5. Directors’ and Major Shareholders’ Interest None of the Directors or major shareholders of the Company and/or persons connected to them has any interest, whether direct or indirect, in the incorporation. 6. Directors’ Statement The Board of Directors is of the opinion that the incorporation is in the best interest of CHRB Group.
