We refer to the earlier announcements in relation to the Proposed Lingui Privatisation. On behalf of the Board of Directors of Lingui, Maybank Investment Bank Berhad (“Maybank IB”) wishes to announce that the Securities Commission Malaysia (“SC”) has via its letter dated 10 September 2012 given its consent for the contents of the explanatory statement in relation to the proposed privatisation of Lingui by SGL by way of a members’ scheme of arrangement under Section 176 of the Companies Act, 1965 (“Proposed Lingui Privatisation”). As at the date of this announcement, the SC’s consent for the contents of the independent advice circular in relation to the Proposed Lingui Privatisation is still pending. In addition, the SC has also taken note of the Proposed Lingui Privatisation in relation to the equity requirement for public companies. It was also stated that Maybank IB must inform the SC in the event Lingui remains listed on Bursa Malaysia Securities Berhad (“Bursa Securities”) after the Proposed Lingui Privatisation, whereby in such case, equity conditions may be imposed. Notwithstanding the above, as stated in Lingui’s announcement dated 23 March 2012, that subject to Bursa Securities’ approval, Lingui will be delisted from the Main Market of Bursa Securities upon completion of the Proposed Lingui Privatisation. Since the issuance of the Explanatory Statement on 17 August 2012, the Directors have received numerous feedback from Scheme Shareholders that the cash balance in the Company was accumulated whilst the Scheme Shareholders were shareholders of the Company. The Board has considered such views and agreed that there is merit in them and is therefore pleased to declare a special single tier interim dividend of 52.75 sen per share for the year ended 30 June 2012 totalling RM60,182,893. This is in addition to the interim dividend of 5.0 sen per share less tax and the single tier tax exempt interim dividend of 3.5 sen per share declared on 30 August 2012. There will be no final dividend to be declared at the forthcoming Annual General Meeting of the Company. The book closure date will be announced at a later date. This announcement is dated 11 September 2012.
