(Unless otherwise stated, definitions used in this announcement shall carry the same meaning as defined in the Company’s announcement dated 20 January 2015 in relation to the Joint Venture Agreement)
Further to the announcement made by the Company on 20 January 2015, the Board of Directors of MRB wishes to announce that the proposed disposal of 720,000 ordinary shares of RM1.00 each in the share capital of MAMI, representing 15% of the issued and paid-up share capital of MAMI to AMI for a total consideration of RM1,700,000 only has been completed on 31 March 2015. The Company recorded a gain of RM980,000.00 arising thereon.
Subsequent to the above, MAMI became a 85%- owned subsidiary of MRB.

On behalf of the Board of Directors of DKLS Industries Berhad (“DKLS” or “Company”), we wish to announce that the Company has on 31 March 2015 disposed of 2,712,085 ordinary shares of RM1.00 each in DKLS-PJI Venture Capital Sdn Bhd (“DKLS-PJI”), representing 60% equity interest in DKLS-PJI, for a total cash consideration of RM1,500,000 (“Disposal”).
The Disposal is part of the rationalisation and streamlining exercise of the DKLS Group for the Company to divest its non-profitable subsidiary and for the Group to remain focus on construction and property development projects and related business activities. Upon the completion of the Disposal, DKLS-PJI ceases to be a subsidiary of the Company.
The consideration for the Disposal was arrived at on a willing buyer willing seller basis after taking into account the net assets of DKLS-PJI based on its unaudited financial statements for the financial year ended 31 December 2014. The Disposal has given rise to a loss of RM1,149,190 at DKLS Group level.
The Disposal is not subject to the approval of shareholders of the Company or any government authorities.
None of the directors and/or major shareholders of DKLS and persons connected to them have any interest, direct or indirect, in the Disposal.
