Reference is made to the Company’s announcement dated 15 January 2015 on the subject matter. All definitions used in this announcement are the same as those defined in the previous announcement unless otherwise defined herein. The Board wishes to inform that the Company has procured sufficient internally generated funds for the purpose of the Acquisition and therefore has no need to revise the utilisation of proceeds of RM1.25 million as announced previously. The aforementioned proceeds of RM1.25 million shall revert towards its original purpose of rental and renovation for the purpose of establishing a corporate office for the Company in the Klang Valley. KAF Investment Bank Berhad (“KAF”)
wishes to announce that the Company had on 16 January 2015 and today submitted an application to the
Securities Commission and the Ministry of International Trade and Industry (“MITI”) respectively to seek their approvals with
respect to a proposed special issue of new ordinary shares of RM0.10 each in
Genetec (“Genetec Shares”) to
Bumiputera investors to be identified and/or approved by the MITI to comply
with the Bumiputera Equity Requirements for Public Listed Companies, which
require the Company to allocate 12.5% of its enlarged issued and paid-up share
capital to MITI-recognised Bumiputera investors (“Bumiputera Equity Condition”). In conjunction with the aforesaid application
to the MITI, the Company is also seeking the MITI’s recognition of existing
Bumiputera shareholders of Genetec as approved Bumiputera shareholders (“MITI’s Recognition”) for the purpose of
complying with the Bumiputera Equity Condition. | |
