Unless otherwise defined, the abbreviations and definitions used in the announcements of the Company dated 9 January 2014, 18 February 2014, 24 July 2014, 10 November 2014, 4 December 2014, 8 December 2014, 19 December 2014 and 23 December 2014 in relation to the Proposed Regularisation Plan of the Company shall apply herein (collectively, the “Previous Announcements”). We refer to the Previous Announcements in relation to the Proposed Regularisation Plan. On behalf of the Board, RHB Investment Bank wishes to announce that Bursa Securities had, vide its letter dated 20 January 2015, approved the following: (i) the Proposed Consolidation; and (ii) the listing of and quotation for the following: (a) 1,032,420,869 new ordinary shares of RM1.00 each in GW Plastics to be issued pursuant to the Proposed Acquisition; (b) Up to 128,000,000 new ordinary shares of RM1.00 each in GW Plastics to be issued pursuant to the Proposed Private Placement; (c) Up to 172,000,000 new ordinary shares of RM1.00 each in GW Plastics to be issued pursuant to the Proposed Bumiputera Issue; and (d) Up to 122,218,357 new ordinary shares of RM1.00 each in GW Plastics to be issued arising from conversion of the ICULS. The approval granted by Bursa Securities above is subject to the following conditions: 1) GW Plastics and its adviser must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Regularisation Plan, including compliance with Paragraphs 15.02(1), 15.09(1) and 15.10 of the Listing Requirements upon the completion of the Proposed Regularisation Plan; 2) GW Plastics and its adviser to inform Bursa Securities upon the completion of the Proposed Regularisation Plan; 3) GW Plastics to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Regularisation Plan are completed; 4) GW Plastics must comply with the public shareholding spread requirements pursuant to Paragraph 8.02 of the Listing Requirements upon the listing of and quotation for the shares to be issued pursuant to the Proposed Regularisation Plan; 5) In respect of the moratorium on the sale of securities imposed by the SC, the following information on the moratorium have to be submitted to Bursa Malaysia Depository Sdn Bhd before the listing of and quotation for the securities: (i) The names of the securities holders; (ii) The number of securities; (iii) The date(s) of expiry of the moratorium; and 6) GW Plastics to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the conversion of the ICULS as at the end of each quarter together with a detailed computation of listing fees payable.
