INTRODUCTION
MWE Holdings Berhad ("MWE") wishes to announce that MWE Weaving Mills Sdn Bhd ("MWM"), a wholly-owned subsidiary of MWE which has been dormant, has via its Extraordinary General Meeting convened on 15 January 2015 obtained approval of the shareholder to commence members' voluntary winding-up pursuant to Section 254(1)(b) of the Companies Act, 1965 ("Members' Voluntary Winding-Up").
INFORMATION ON MWE WEAVING MILLS SDN BHD ("MWM") MWM was incorporated in Malaysia on 22 January 1979. MWM has an authorised share capital of RM6,000,000 divided into 6,000,000 ordinary shares of RM1.00 each of which 5,400,000 ordinary shares of RM1.00 each are issued and fully-paid. Its principal activity is trading of yarns and has been inactive since 2003. APPOINTMENT OF LIQUIDATORS Mr Tang Chong Chin and Mr Lim Kong Yow have been appointed as joint liquidators to act jointly and severally for the purpose of the winding-up proceedings. RATIONALE FOR THE WINDING-UP The members' voluntary winding-up is part of MWE group's continuing rationalisation effort to improve efficiency within the MWE Group of Companies. In addition, the members' voluntary winding-up will enable MWE to save future costs associated with maintaining this subsidiary. FINANCIAL EFFECT OF THE WINDING-UP The winding-up proceeding is not expected to have any material impact on the MWE group's earning and net tangible assets for the financial year ending 31 March 2015. DIRECTORS' AND SUBSTANTIAL SHAREHOLDERS' INTERESTS Save as disclosed above and to the best knowledge of the Board of Directors, none of the Directors or substantial shareholders of MWE and persons connected to the directors or substantial shareholders has any interest, direct or indirect in the winding-up proceedings. DIRECTORS' OPINION The Board of Directors of the Company, having taking into consideration all aspects of the winding-up proceedings, is of the opinion that the winding-up proceedings is in the best interest of MWE group.
