| The exercise price of the Warrants 2013/2018 will be revised from RM0.38 to RM0.33 resulting from the implementation of the Proposed Rights Issue with Warrants in accordance to the relevant adjustment clause(s) under the Deed Poll governing the Warrants 2013/2018 dated 25 April 2013. The new exercise price of RM0.33 per Warrants 2013/2018 shall be effective 20 January 2015. The additional Warrants 2013/2018 to be allotted to warrantholders shall be listed concurrent with the Rights Shares at the completion of the Rights Issue with Warrants. The Warrants may be exercised any time during the tenure of the Warrants of five (5) years including and commencing from the issue date of the Warrants and ending at 5.00 p.m. on the Expiry Date (being a date being five (5) years from and including the date of issue of the Warrants, provided that if such day falls on a day which is not a market day, then on the preceding market day). Each Warrant carries the entitlement to subscribe for one (1) new ordinary share of RM0.10 each in Inari Amertron Berhad ("Inari" or "Company") at the Revised Exercise Price of RM0.33 which shall be satisfied fully in cash and shall be subject to adjustments in accordance with the Deed Poll. Subject to the provision in the Deed Poll, the Exercise Price and the number of Warrants held by each Warrant holder shall be adjusted by the Board of Directors of Inari in consultation with the adviser and certification of the external auditors, in the event of alteration to the share capital of the Company. |
