The Board of Directors of PESTECH is pleased to inform that the Company had on 26 February 2014 acquired two (2) ordinary shares of RM1.00 each in the share capital of PESTECH Switchgear Sdn. Bhd. ("PSwitch") for a total cash consideration of Ringgit Malaysia Two (RM2.00) ("the Acquisition"). Upon completion of the Acquisition, PSwitch became a wholly-owned subsidiary of PESTECH. Information on PSwitch PSwitch was incorporated in Malaysia under the Companies Act, 1965 on 30 December 2013 with an authorised share capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each of which two (2) ordinary shares have been issued and fully paid up. The principal activity of PSwitch is design, manufacture and selling of switchgears and its related products. The Acquisition does not have any material effect on the earnings and net tangible assets of the Company. None of the Directors, Major Shareholders and/or persons connected to them has any interest, direct or indirect, in the Acquisition. This announcement is dated 28 February 2014. | |
