Reference is made to the announcement on 22 August 2014, 25 September 2014 and 1 October 2014 in relation to the Proposals (“Announcements”). For consistency, the abbreviations used throughout this announcement are the same as those previously defined in the Announcements. On behalf of the Board, HLIB wishes to announce on behalf of the Board that on 13 November 2014, Datuk Lim and Norzain had vide their letters dated 13 November 2014, written to DMB to request the Company to reconsider the subscription price of RM0.265 for the 100,000,000 Placement Shares to be placed out to Datuk Lim and 50,000,000 Placement Shares to be placed out to Norzain, collectively (“Allocated Placement Shares”) given that the share price of DMB has declined by approximately 15.1% from the agreed subscription price of RM0.265 to close at RM0.225 on 11 November 2014. Datuk Lim and Norzain had proposed that the subscription price for the Allocated Placement Shares be fixed at no more than a 10% discount to the VWAMP of DMB Shares for the five (5) market days prior to the date of the EGM for the Proposed Placement. DMB had vide its letters to Datuk Lim and Norzain dated 13 November 2014 agreed to their proposal in respect to the revision of the subscription price. All the other terms and conditions of the Proposals remain unchanged. This announcement is dated 13 November 2014. | |
