made on 22 August 2014. We refer to our announcements made on 22 August 2014 and 26 August 2014 in relation to the Proposals. On behalf of the Board of Directors of NOVAMSC, RHB Investment Bank is pleased to announce that Bursa Securities had, vide its letter dated 4 September 2014 (which was received on 5 September 2014), resolved to approve the listing of and quotation of up to 98,816,280 NOVAMSC Shares, representing up to 20% of the issued and paid-up ordinary share capital of NOVAMSC (excluding treasury shares), to be issued pursuant to the Proposals. The approval of Bursa Securities for the Proposed Private Placement are subject to the following conditions: (i) NOVAMSC and RHBIB must fully comply with the relevant provisions under the ACE Market Listing Requirements pertaining to the implementation of the Proposed Private Placement; (ii) NOVAMSC and RHBIB to inform Bursa Securities upon completion of the Proposed Private Placement; and (iii) NOVAMSC to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
