Pursuant to Paragraph 9.23(1) of the Listing Requirements of Bursa Malaysia Securities Berhad (“LR”), HB Global Limited (“HB” or “the Company”) is required to furnish its annual reports that include annual audited financial statements together with the auditors’ and directors’ reports for the financial year ended 31 December 2013 (“AFS 2013”) (“Annual Report”) to Bursa Malaysia Securities Berhad (“Bursa Securities”) for public release within a period not exceeding six (6) months from the close of the financial year (“Relevant Timeframe”) which falls on 30 June 2014. The Board of Directors of HB wishes to announce that the issuance of Annual Report has been delayed as the AFS 2013 of the Company was only completed and submitted to Bursa Securities on 22 July 2014. Further to the submission of AFS 2013, the Company is now in the midst of preparing the Annual Report of the Company. However, the Company was not able to ascertain when the Annual Report can be issued to the shareholders. Pursuant to Paragraph 9.28(6) of the LR, if the Company fails to issue the outstanding Annual Report within six (6) months from the expiry of the Relevant Timeframes, in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall commence de-listing procedures against the Company. This announcement is dated 3 September 2014.

Pursuant to Paragraph 9.19(23) of the Bursa Malaysia Securities Berhad Main Market Listing Requirement, Felda Global Ventures Holdings Berhad ("FGV") wishes to announce that on 29 August 2014, FGV has acquired the entire issued and paid-up share capital of Laras Simfoni Sdn. Bhd. (Company No. : 1104073-D) ("LSSB") a company incorporated in Malaysia under the Companies Act, 1965 for a cash consideration of RM2.00 ("the Acquisition"). With the Acquisition, LSSB has become a wholly-owned subsidiary of FGV. LSSB was incorporated on 8 August 2014 and is presently dormant. The authorised share capital of LSSB is RM400,000.00 comprising of 400,000 ordinary shares of RM1.00 each of which 2 ordinary shares of RM1.00 each have been issued and fully paid-up. LSSB has applied to change its name to "FGV Green Energy Sdn. Bhd.". This company shall be the joint venture company between Felda Global Ventures Downstream Sdn. Bhd., M2 Capital Sdn. Bhd and Benefuel International Holdings S.A.R.L. to undertake the activities of producing and manufacturing biodiesel. The Acquisition will not have any material effect on the net assets per share and earnings per share, as well as the gearing of FGV Group of companies for the financial year ending 31 December 2014.
