On behalf of WZ Satu, HLIB wishes to announce that Bursa Securities had, via its letter dated 4 September 2014, resolved to approve the following:

  1. admission of the Warrants to the Official List of Bursa Securities and the listing of and quotation for 95,000,000 Warrants to be issued pursuant to the Proposed Free Warrants Issue on the Main Market of Bursa Securities;
  2. listing of and quotation for up to 57,000,000 Placement Shares to be issued pursuant to the Proposed Placement on the Main Market of Bursa Securities;
  3. listing of and quotation for 10,588,235 Consideration Shares to be issued as part of the consideration for the Proposed Acquisition on the Main Market of Bursa Securities; and
  4. listing of and quotation for up to 95,000,000 new WZ Satu Shares to be issued pursuant to the exercise of the Warrants on the Main Market of Bursa Securities.

The approval granted by Bursa Securities for the above is subject to the following conditions:

  1. WZ Satu and HLIB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;
  2. WZ Satu and HLIB to inform Bursa Securities upon the completion of the Proposals;
  3. WZ Satu to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed;
  4. WZ Satu to furnish Bursa Securities with a certified true copy of the resolutions passed by shareholders at an extraordinary general meeting for the Proposals; and
  5. WZ Satu is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants respectively as at the end of each quarter together with a detailed computation of listing fees payable.
