We refer to the announcements dated 8 August 2014, 12 August 2014 and 18 August 2014 in relation to the Subscription (“Announcements”). Unless the context otherwise requires, all expressions used herein shall have the same meanings assigned thereto in the Announcements.
On behalf of the Board of Directors of GFB, we wish to announce that NCE had on 19 August 2014 completed the due diligence on NGY Group. NGY, JCM Auto Components Sdn Bhd (“JCM”) and NCE had on even date entered into a Share Subscription Agreement for the subscription by JCM and NCE of 41,666,667 NGY Shares (“JCM’s Subscribed NGY Shares”) and 41,666,666 NGY Shares (“NCE’s Subscribed NGY Shares”) at A$0.03 per NGY Share (“Placement Price”) for A$1,250,000.01 (“JCM Subscription Amount”) and A$1,249,999.98 (“NCE Subscription Amount”) respectively. The total of 83,333,333 NGY Shares subscribed (“NGY Subscribed Shares”) will raise A$2.5 million representing about 19.9% of the enlarged share capital of NGY. The Deposit (paid by NCE) will be utilised against the NCE Subscription Amount. Within 2 business days from the receipt of the JCM Subscription Amount and NCE Subscription Amount, NGY will issue the JCM’s Subscribed NGY Shares and NCE’s Subscribed NGY Shares to JCM and NCE respectively. NGY will then within 2 business days from the issuance of NGY Subscribed Shares, apply to ASX for quotation of the NGY Subscribed Shares.
Copies of the aforesaid Share Subscription Agreement may be inspected at the registered office of GFB at Wisma AIC, Lot 3 Persiaran Kemajuan, Section 16, 40200 Shah Alam, Selangor Darul Ehsan during normal business hours from Mondays to Fridays (except public holidays) for a period of 3 months from the date of this announcement.
