None of the Directors, major shareholders and/or persons connected with the Directors and/or major shareholders of Nexgram have any interest, direct or indirect, in the above Disposals.   The Board of the Directors of the Company, having taken into consideration all aspects of the Disposals, is of the opinion that the Disposals is in the best interest of Nexgram.
