At the thirty-seventh Annual General Meeting (“AGM”) of Magnum held on 21 June 2013, the shareholders of Magnum had approved, amongst others, the renewal of the authority for Magnum to purchase its own shares of an amount, which, when aggregated with existing treasury shares, does not exceed 10% of its prevailing issued and paid-up share capital at any time (“2013 SBB Authority”). The 2013 SBB Authority will expire at the conclusion of Magnum’s forthcoming AGM. On behalf of the Board of Directors of Magnum, CIMB Investment Bank Berhad wishes to announce that the Company proposes to seek the approval of its shareholders for the Proposed Share Buy-Back Renewal at an Extraordinary General Meeting (“EGM”) to be convened. As CMSB directly holds approximately 28.351% of the voting shares in Magnum, and together with the PACs, collectively hold approximately 32.998% of the voting shares in Magnum as at 24 April 2014, the purchase by Magnum of its own shares pursuant to the Proposed Share Buy-Back Renewal may trigger an obligation by CMSB and the PACs to undertake a mandatory take-over offer on the remaining voting shares in Magnum under the Code. In this regard, CMSB and the PACs intend to apply to the Securities Commission (“SC”) for the Proposed Exemption. Under the Code, the SC may consider granting the Proposed Exemption if, amongst others, the approval of the independent shareholders of Magnum is obtained by way of poll. Accordingly, Magnum proposes to table the Proposed Exemption together with the Proposed Share Buy-Back Renewal at the EGM to be convened The Proposed Exemption is conditional upon the Proposed Share Buy-Back Renewal but not vice versa. A statement containing details of the Proposed Share Buy-Back Renewal and Proposed Exemption will be despatched to the shareholders of Magnum in due course. This announcement is dated 24 April 2014.
