(II) PROPOSED ACQUISITION OF 34.9 HECTARES OF LAND LOCATED AT BINTULU, SARAWAK, FROM DD PALM OIL MILLS SDN BHD, TING CHEK ING AND LEE KA MING FOR A PURCHASE CONSIDERATION OF APPROXIMATELY RM4.3 MILLION

(COLLECTIVELY REFERRED TO AS THE “PROPOSED ACQUISITIONS”)
On behalf of the Board of Directors of SOPB (“Board”), RHB Investment Bank Berhad (“RHBIB”) wishes to announce that SOPB had on 19 March 2014 entered into the following agreements:
(i) a conditional share sale agreement (“SSA”) for the proposed acquisition of 60% equity interest in DD Pelita Sebungan Plantation Sdn Bhd (“DD Pelita”) and Mutiara Pelita Genaan Plantation Sdn Bhd (“Mutiara Pelita”) from Double Dynasty Sdn Bhd (“DDSB”) and Mutiara Hartabumi Sdn Bhd (“MHSB”) respectively for an aggregate purchase consideration of RM134,900,000 to be settled vide the issuance of 9,200,000 ordinary shares of RM1.00 each in SOPB (“SOPB Shares”) (“Consideration Shares”) and RM66,820,000 in cash (“Proposed Plantations Acquisition”).
      In addition, the SSA also includes the arrangement to contract the Vendors for their services to procure the natives with up to 8,000 hectares of Native Customary Rights land (“NCR Land”) to come within the Sarawak State Government’s scheme for the development of the said NCR Land into oil palm plantations for a procurement consideration of RM3,500 per hectare to be satisfied by way of issuance of 473 SOPB Share (“Additional Consideration Shares”) at an issue price of RM7.40 per Additional Consideration Share (“Proposed Rights Procurement”); and

(ii) a conditional sales and purchase agreement ("SPA”) with DD Palm Oil Mills Sdn Bhd (“DDPOM”), Ting Chek Ing, Lee Ka Ming and Lee King Ho (being the co-proprietors to Lot 136 as detailed in Section 2.2.2 (iii) of this Announcement) for the proposed acquisition of 34.9 hectares of land located at Bintulu, Sarawak, for an aggregate purchase consideration of RM4,310,891 to be fully settled in cash (“Proposed Properties Acquisition”).

(Collectively, the Proposed Plantations Acquisition, Proposed Rights Procurement and Proposed Properties Acquisition are referred to as the “Proposed Acquisitions”)

The Board of Directors of Tropicana wishes to announce that Sapphire Index Sdn Bhd, a wholly-owned subsidiary of Tropicana, had on 19 March 2014, entered into a sale and purchase agreement with Prominent Stream Sdn Bhd, a wholly-owned subsidiary of Eco World Development Group Berhad (formerly known as Focal Aims Holdings Berhad) for the proposed disposal of approximately 308.72 acres of net leasehold land forming part of the Original Land (as defined in Section 2.3 of the attachment hereto) for a total cash consideration of RM470,674,512 or RM35 per square foot.
