The Board of Directors of the Company wishes to announce that the Company had on 21 March 2014 acquired the entire issued and paid-up share capital of Corus Hotels Sdn Bhd ("CHSB") comprising 2 ordinary shares of RM1.00 each at a total consideration of RM2.00 ("Acquisition"). Upon the completion of the Acquisition, CHSB has become a wholly-owned subsidiary of the Company. CHSB was incorporated in Malaysia under the Companies Act, 1965 on 20 April 2001 with an authorised share capital of RM100,000 divided into 100,000 ordinary shares of RM1.00 each of which 2 ordinary shares have been issued and fully paid-up. The intended principal activity of CHSB is property development. The Acquisition is not expected to have any material effect on the earnings, net assets and gearing of the Company for the financial year ending 31 December 2014. None of the Directors or major shareholders of the Company or persons connected with them, have any interest, direct or indirect, in the Acquisition. This announcement is dated 21 March 2014. | |
