We wish to announce the remedial actions taken to comply with the Securities Commission Malaysia (“SC”)’s conditions, via its approval letter dated 3 May 2013, in conjunction with Solid’s listing on the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”).


As stated in Section 9.1(ii) of the Company’s Prospectus dated 19 August 2013 (“Prospectus”), Solid is to comply with the following conditions relating to the properties:

Solid is to obtain the necessary approval for land amalgamation and to rectify the unapproved structures/ extensions within two (2) years from the date of the SC's approval letter.

As disclosed in Section 6.15.1 of the Prospectus, the properties have an existing roof extension which connects the two (2) properties, and there was no provision of setback at the rear of the building. The said extension is currently not within the building plans of the respective property. Solid had engaged a licensed surveyor to advise and submit an application to the land office on behalf of Solid for the amalgamation of both properties into a single lot, of which the application was submitted in October 2012. Upon completion of the land amalgamation process, Solid will then submit a revised building plan to regularise the said roof extension and to address the provision for setback at the rear of the buildings.


  1. To obtain approval for land amalgamation


Solid has received approval from the Land Office of Johor Bahru on 15 January 2014 for the amalgamation of the two pieces of property (i.e. No. 5 and No. 7, Jalan Dataran 5) into a single lot with the following conditions:


Express conditions

1. The land must be used as an area for light industry for the purpose of ……… industry and other related usage, built in accordance to the plans approved by the relevant local authority *;

2. All effluence and pollutants produced as a result of the activities shall be channeled to places as fixed by the relevant local authorities; and

3. All terms and conditions imposed and enforced by the relevant local authorities from time to time shall be complied with.


Restriction in Interest

Ownership of the land cannot be transferred in any manner except after the infrastructure for public amenities in the factory area has been built in accordance with the plans approved by the relevant local authorities.


* Express condition (1) above did not indicate the purpose of the land use. The licensed surveyor has confirmed that the purpose to be stated in the new amalgamated title deed to be issued subsequently will be the same as that on the existing individual titles (i.e. purpose for light industry and other related usage).


Solid is also to comply with the conditions as expressed in the comments and views by the relevant authorities.


The issuance of the new title for the amalgamated properties is expected to take another six (6) months.


  1. To rectify the unapproved structures/ extensions


With regard to the roof extension and the extension at the setback area of the property, Solid has engaged the services of an engineering consulting firm (to prepare relevant drawings and plans for the Jabatan Bomba dan Penyelamat Malaysia requirements) and building consulting firm (to prepare new structural and building plans and drawings) in December 2013 and January 2014 respectively, for submissions to the relevant authorities and Majlis Bandaraya Johor Bahru (“MBJB”) to comply with the uniform building by-laws and related regulations. The consultants have informed that it will take approximately six (6) to ten (10) months from January 2014 to prepare the required drawings and plans for submission to the relevant authorities and MBJB. MBJB is expected to take up to a further six (6) months to approve the new building plans.


In the event that the roof extension and extension at the setback area of the property are not approved by MBJB, Solid will dismantle the said extensions.

No. 17, Jalan Kukuh off Jalan Tampoi, Kawasan Perusahaan Tampoi, Larkin, 80350 Johor Bahru, Johor Darul Takzim


Solid is to rectify the non-compliance relating to the title and unapproved structures/ extensions within twelve (12) months from the date of the SC's approval letter.

As disclosed in Section 6.15.1 of the Prospectus, the express condition of the land is that it shall only be used as area of heavy industry for manufacturing of stationery and other utilisation connected thereto. On 9 July 2012, Solid had submitted an application to the Land Office of Johor Bahru for the change in express condition to “heavy industry for warehouse, manufacture of automotive spare parts and workers quarters”. Solid had on 10 June 2013 submitted an application to the said Land Office for the extension of the original leasehold period of 60 years expiring 6 October 2034 to 99 years (i.e. to expire in 2073).


Further, there was no building plan available when the property was acquired in 2009 and there is a temporary structure on the vacant land at the back of the factory. There is also a sub-basement building extension at the back of the factory which is currently used as production and materials store area, which was not in the description of the property in the certificate of fitness for occupation.


On the temporary structure and the sub-basement building extension, Solid had appointed a building consultancy firm to prepare and draw up a fresh set of building plan which was subsequently submitted to MBJB on 11 July 2013 for their preliminary review and comments.


  1. To rectify non-compliance relating to title


On 9 October 2013, the Land Office of Johor Bahru had approved the change in the land use condition and on 6 January 2014, the title deed was issued to Solid with the following conditions:


Express conditions

1. The land must be used as area for heavy industry for warehousing, manufacture of automotive spare parts and workers quarters and other usage connected thereto, built in accordance to the plans approved by the relevant local authority;

2. All effluence and pollutants produced as a result of the activities shall be channeled to places as fixed by the relevant local authorities; and

3. All terms and conditions imposed and enforced by the relevant local authorities from time to time shall be complied with.


Restriction in Interest

This land shall not, be sold, charged, leased or transferred in any event via any means including by way of agreement for the purpose of disposal/ trading this land, without the approval from the relevant state authority.


Solid is also to comply with the conditions as expressed in the comments and views by the relevant local authorities.


However, Solid’s application for the extension of the original leasehold period of 60 years expiring 6 October 2034 to 99 years (i.e. to expire in 2073) is still pending approval from the Land Office of Johor Bahru.



  1. To rectify non-compliance relating to the unapproved structures / extensions


MBJB had on 9 January 2014 requested for the building plan to be amended to include:

  1. Landscaping;

  2. Minimum floor utilisation ratio between production / warehouse and other uses (office, amenities and others);

  3. Setback to the boundary;

  4. Prayer rooms; and

  5. Parking spaces.


The appointed building consultant is expected to take four (4) months up to end of April 2014 to complete the said task. MBJB is expected to take up to a further four (4) months up to end of August 2014 to approve the amended building plans.


In the event that the amended building plans are not approved by MBJB, Solid will remove the said temporary structure. For the sub-basement extension, in the event Solid is unable to obtain approval from MBJB, Solid will dismantle the existing extensions and apply to build a new building extension for the production and materials store area. During the construction stage, Solid will move the production and material store area to the vacant ground floor of the main building.

Solid is to rectify all unapproved structures/ extensions within six (6) months from the date of the SC’s approval letter.

Solid has rectified all unapproved structures/extensions. The details of such compliance have been disclosed in Sections 6.15.1 and 9.1 of the Prospectus.

Solid is to rectify all unapproved structures/ extensions (if any) within six (6) months from the date of the SC's approval letter.


As disclosed in our announcement dated 20 February 2014, the SC had, via its letter dated 30 January 2014, approved our application for an extension of time of eleven (11) months to 30 September 2014 to fufill the condition imposed, subject to conditions, amongst others, that Solid is to provide an undertaking to the SC in relation to the proposed redevelopment of the said property. Solid had provided the required undertaking to the SC.
