| Description | PERWAJA HOLDINGS BERHAD (“PHB” or the “Company”) MONTHLY ANNOUNCEMENT PURSUANT TO THE PRACTICE NOTE 17 OF THE MAIN MARKET LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD |
We refer to the announcements dated 26 November 2013 (“First Announcement”), 6 December 2013, 2 January 2014 and 4 February 2014 made by the Company in relation to the Company being classified as a PN17 Issuer. Unless otherwise defined, the definitions set out in the First Announcement shall apply herein. The Board of PHB wishes to highlight that the Company’s wholly owned subsidiary, Perwaja Steel Sdn Bhd (“PSSB”), had reached an amicable settlement with Petroliam Nasional Berhad (“Petronas”) and Tenaga Nasional Berhad (“TNB”) on 10 February 2014 and 18 February 2014 respectively. The Company has entered into a settlement agreement with Petronas for full and final settlement of the outstanding amount of RM275,773,453.64 and the provision for future supply of dry gas. Further, PSSB has also entered into a settlement agreement with TNB to record the terms and conditions of settlement of all outstanding amounts due and owing by PSSB to TNB in respect of electricity bills issued by TNB (including Judgments of Court which were granted in favour of TNB) for a total sum of RM176,712,915.78 in the manner set out in the Settlement Agreement. Save and except for the abovementioned, the Company is still currently working out a restructuring scheme with its financial lenders and creditors, and no material development since the announcement made previously on 4 February 2014. The Company has approximately eight (8) months to submit its regularisation plan to the relevant authorities for approval. The Company will make the necessary announcement on the regularisation plan in accordance with the requirements under the PN17. This announcement is dated 03 March 2014
