| Description | DELISTING NOTIFICATION TO TEXCHEM-PACK HOLDINGS (S) LTD. PURSUANT TO RULE 1315 OF THE SINGAPORE EXCHANGE SECURITIES TRADING LIMITED’S LISTING MANUAL |
The Board of Directors of Texchem Resources Bhd. (“TRB”) wishes to inform that Singapore Exchange Securities Trading Limited (“SGX-ST”) had on 5 March 2014 issued a delisting notification to Texchem-Pack Holdings (S) Ltd. (“TXPHS”), a 70.48% owned subsidiary of TRB, under Rule 1315 of the Listing Manual of SGX-ST (“Listing Manual”) [“Delisting Notification”]. TXPHS was placed on the Watch-List on 5 March 2012 and TXPHS was given 24 months from 5 March 2012 to regularise its financial position so as to meet the requirements of the Listing Manual in order for TXPHS to apply to the SGX-ST for its removal from the Watch-List. Should it fail to do so, the SGX-ST may either remove TXPHS from the Official List, or suspend trading of the Company’s shares with a view to removing TXPHS from the Official List. As at 5 March 2014, TXPHS was unable to meet the requirements of the Listing Manual to apply for its removal from the Watch-List. In the Delisting Notification the SGX-ST has advised that TXPHS or its controlling shareholder(s) must comply with the Listing Manual which requires TXPHS or its controlling shareholder(s), i.e. TRB, to make a reasonable exit offer to shareholders. The SGX-ST has given TXPHS one month from the date of the Delisting Notification to make an exit offer proposal. The SGX-ST has advised that trading in TXPHS’s securities will continue until 5pm, 4 April 2014 and that trading will be suspended from 9am, 7 April 2014 until the completion of the exit offer. At this juncture, TRB is not in a position to determine the financial impact on TRB Group as the exit offer price has yet to be considered and determined by the Board of Directors of TRB. TRB will make further announcements as and when there are material updates on the status of the exit offer proposal. This announcement is dated 6 March 2014.
