Reference is made to the announcements dated The Directors of the Company are pleased to announce that on 7 March 2014, pursuant to the Court Orders of the High Court dated 27 March 2012, 18 July 2013 and 25 February 2014, the Company has received (through its lawyers, Messrs Yoong & Partners) the Form of Transfer of Securities (“Form 32A”), which was executed by the Deputy Registrar of the High Court on behalf of Zen Courts Sdn. Bhd. (“Zen Courts”), in respect of 4,500,000 ordinary shares of RM 1.00 each in (comprising 30% of) the share capital of Bukit Jalil Development Sdn. Bhd. (the “BJD Shares”), from Zen Courts. On the same day, the Company also, pursuant to those Orders, delivered (through the respective lawyers) banker’s cheques for (i) RM 35,970,000 (being the purchase price payable to Zen Courts for the BJD Shares as ordered by the Court), and (ii) RM 576,505.48 (being the amount of interest at 5% per annum from 18 July 2013 to 11 November 2013 payable to Zen Courts). The High Court had, on The Directors of the Company are pleased to announce that, with the receipt of the Form 32A as so executed and such payment made under the two banker’s cheques, the purchase by and transfer to the Company (from Zen Courts) of the BJD Shares is now completed, on 7 March 2014. Accordingly, as the Company already holds 70% of its share capital, Bukit Jalil Development Sdn. Bhd. has become a wholly-owned subsidiary of the Company. For completeness, the Directors of the Company also announce that the Court Order dated 25 February 2014 also ordered and provided that Mr. Yeoh Keng Tat (who was appointed as a Director of Bukit Jalil Development Sdn. Bhd. at the behest of Zen Courts) is deemed to have ceased to be a Director of Bukit Jalil Development Sdn. Bhd. with effect from 18 December 2013. This announcement is dated 7 March 2014.
