On behalf of the Board of Directors of Smartag (“Board”), TA Securities Holdings Berhad (“TA Securities”) wishes to announce that the Company proposes to undertake the following: (i) proposed private placement of up to 45,400,000 new ordinary shares of RM0.10 each in Smartag (“Smartag Shares” or “Shares”) (“Placement Shares”), representing approximately twenty percent (20%) of the existing issued and paid-up share capital of Smartag (“Proposed Private Placement”); (ii) proposed establishment of a share issuance scheme of up to thirty percent (30%) of the Company’s issued and paid-up share capital (excluding treasury shares, if any) at any one time during the duration of the scheme (“Proposed SIS”);
(iii) proposed increase in the authorised share capital of Smartag from RM25,000,000 comprising 250,000,000 Smartag Shares to RM50,000,000 comprising 500,000,000 Smartag Shares (“Proposed Increase in Authorised Share Capital”); and
(iv) proposed amendment to the Company’s Memorandum of Association as a consequence of the Proposed Increase in Authorised Share Capital (“Proposed Amendment”).

INTRODUCTION The Board of Directors of TH Heavy Engineering Berhad ("THHE”) is pleased to announce that its subsidiary, THHE Fabricators Sdn. Bhd. (“TFSB” or "the Company") has received a Letter of Award from PETRONAS Carigali Sdn Bhd (“PCSB”) dated 28 January 2014 for the Procurement, Construction and Commissioning (PCC) of KNPG-B Topside PH II, Kinabalu Non-Associated Gas (NAG) Development Project (“the Contract”). INFORMATION ON THE CONTRACT Under the Contract, the Company is to undertake the Procurement, Construction and Commissioning (PCC) of KNPG-B Topside PH II, Kinabalu Non-Associated Gas (NAG) Development Project located at Kinabalu Deep & East PSC, 55km West Northwest of Labuan Offshore Sabah. It is a one-off contract and the scheduled completion date for the Contract shall be approximately 18 months. The Contract is expected to contribute positively to the earnings and net assets per share of THHE for the financial year ending 31 December 2014 and 31 December 2015. RISK FACTORS Risk factors affecting the Contract include but are not limited to execution risks such as availability of skilled manpower and materials, changes in prices of materials, and changes in political, economic and regulatory conditions. The Company has established of over more than a decade of records and expertise to undertake such projects. Therefore, the Board and management believe that the Company is able to mitigate the abovementioned risk factors. DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST None of the Directors or major shareholders or persons connected with the Directors or major shareholders of the Company has any direct or indirect interest in the Contract.
