The Board of Directors of Selangor Dredging Berhad (“SDB”) wishes to announce that Champsworth Development Pte. Ltd. (“Champsworth”), an associate company of SDB International Sdn Bhd, which in turn is a wholly-owned subsidiary of SDB, has on 7 February 2014 acquired 100 percent equity interest in Teratai Investment Holdings Pte. Ltd ("TIH"), comprising one (1) ordinary share for a total cash consideration of S$1, equivalent to RM2.65, based on the exchange rate of S$1.00:RM2.65. TIH was incorporated in Singapore on 29 January 2014 as a limited exempt private company. The existing paid up share capital of TIH is S$1.00 comprising one ordinary share of S$1.00 each, wholly-owned by Madam Chia Soo Ngoh. The principal activity of TIH is investment holding. The acquisition of TIH will not have any material effect on the earnings or net assets of the SDB Group for the year ending 31 March 2014. None of the directors and/or major shareholders of SDB Group and persons connected with them have any interest, direct and/or indirect, in the above acquisition.   This announcement is dated 7 February 2014.
