The Board of Directors of the Company wishes to announce that the Company is proposing to change its name from “Hwang-DBS (Malaysia) Berhad” to “Hwang Capital (Malaysia) Berhad” (“Proposed Change of Name”) upon the completion of the corporate exercise involving the disposal by the Company of its core businesses which was announced by the Company on 22 January 2014 (“Proposed Disposal”). The Proposed Change of Name is to complement the re-branding of the Company and to better reflect the change of business focus of the Company after completion of the Proposed Disposal. The use of the proposed new name “Hwang Capital (Malaysia) Berhad” was approved by the Companies Commission of Malaysia ("CCM”) on 29 January 2014. The Proposed Change of Name is subject to the approval of the shareholders of the Company at a general meeting to be convened, and if approved, will take effect upon the issuance of the Certificate of Incorporation on Change of Name of Company by the CCM. Top Glove wishes to announce that on 10 February 2014, the total number of Medi-Flex shares owned, controlled or agreed to be acquired by Top Glove Sdn Bhd being the Offeror and persons acting in concert with it, together with the valid acceptances of the Exit Offer, amount to an aggregate of 919,999,164 shares, representing approximately 99.07% in Medi-Flex and has attained the threshold for Compulsory Acquisition under Section 215(1) of the Companies Act (Cap. 50) of Singapore. As stated in the announcement dated 11 October 2013, the Offeror when entitled, intends to exercise its rights to compulsorily acquire all the shares in Medi-Flex from shareholders of Medi-Flex who have not accepted the Exit Offer (“Compulsory Acquisition”). The Exit Offer remains open for acceptances until 5.30 p.m. on 14 February 2014 (the “Closing Date”). The Offeror does not intend to extend the Exit Offer beyond 5.30 p.m. on the Closing Date.
