We refer to the announcements dated 25 October 2013, 9 December 2013, 30 December 2013 and 16 January 2014 in relation to, among others, the Offer and the advertisements to be published by KLAS in The Star, Utusan Malaysia and Sin Chew Jit Poh newspapers on 14 February 2014 which states, among others, that the Offer shall remain open for acceptances up to 5.00 p.m. (Malaysian time) on Friday, 28 February 2014 (“Final Closing Date”). On behalf of DRB-HICOM, Maybank IB wishes to announce that as at 5.00 p.m. (Malaysian time) on Tuesday, 11 February 2014, based on valid acceptances, the Offeror and the PAC collectively hold 240,444,986 KLB Shares, representing approximately 95.29% of the voting shares of KLB. Pursuant to the provisions of the Main Market Listing Requirements of Bursa Securities and upon the close of the Offer on the Final Closing Date, KLAS will procure KLB to take the necessary steps to withdraw its listing status from the Official List of Bursa Securities. Following the withdrawal of KLB’s listing status, KLB Shares will no longer be traded on the Main Market of Bursa Securities and any holder of the Offer Shares (“Holder”) who decides not to accept the Offer will end up holding unlisted KLB Shares. Further, if the Offer has been accepted by the Holders of not less than nine-tenths (9/10) in the nominal value of the Offer Shares resulting in the Offeror and the PAC collectively holding at least approximately 96.16% of the voting shares of KLB, the Offeror intends to invoke the provisions of Section 222 of the CMSA to compulsorily acquire any remaining Offer Shares for which valid acceptances have not been received after the Final Closing Date.
