We refer to our earlier announcements dated 28 August 2009, 2 January 2014, 14 February 2014 and 18 February 2014. The Board of Directors of the Company wishes to provide the following additional information for public release:- 1. The net assets of SILQ (Malaysia) Sdn Bhd (“SILQ”) based on the latest audited financial statements as at 31 March 2013 was RM2,358,029 while the loss before and after tax of SILQ for the same corresponding financial year was RM1,525,039. 2. The share price of RM0.2747 per share was derived based on 1.5 times of the net assets per share of SILQ as this consideration was agreed upon with Semileds so as to allow IQ to hold super majority shareholdings. The original cost that Semileds had paid for these shares in year 2009 was at par value of RM1.00 per share. The total amount of consideration is not significant in view of the prospect SILQ is expected to bring to IQ in terms of complementing our products. The figures were calculated based on the unaudited financial statements as at 31 August 2013 because both parties started their negotiation in September 2013. 3. MvPLED and related LED solutions made practical via SemiLED's support to SILQ will be given prioritised consideration for application on all new product developments within IQ-group's lighting portfolio (dependant on customer/product requirements). Given that IQ-group's spend on LEDs for the past 1 year was approximately USD 1.48m, the prospects for related usage are considerable. This announcement is dated 20 February 2014. | |
