| The warrants were issued on 28 January 2014 to the entitled shareholders of Zelan Berhad (“Zelan”) and applicants who have successfully subscribed for the renounceable rights issue of 281,631,485 new ordinary shares of RM0.10 each in Zelan (“Rights Shares”) on the basis of 1 Rights Share for every 2 existing ordinary shares of RM0.10 each in Zelan (“Zelan Shares”) held as at 5.00 p.m. on 30 December 2013 together with 281,631,485 free detachable warrants (“Warrants”) on the basis of 1 Warrant for every 1 Rights Share subscribed (“Rights Issue with Warrants”). Each Warrant carries the entitlement to subscribe for 1 new Zelan Share at the exercise price of RM0.25 at any time during the exercise period as indicated above commencing on 28 January 2014 (being the Issue Date) and expiring on 25 January 2019 (being the Maturity Date) (“Exercise Period”), subject to the provisions of the deed poll dated 13 December 2013 constituting the Warrants. Any Warrants not exercised during the Exercise Period will thereafter lapse and cease to be valid. There will be a minimum 100 warrantholders holding not less than 1 board lot of Warrants each, prior to the listing of the Warrants on the Main Market of Bursa Malaysia Securities Berhad.
