(Unless otherwise stated, all definitions and terms used in this announcement shall have the same meaning as defined in the announcement dated 16 January 2014). We refer to the announcement dated 16 January 2014 in relation to the Offer, the offer document dated 30 December 2013 issued by Maybank Investment Bank Berhad on behalf of the Offeror in relation to the Offer, and the listing circular dated 22 January 2014 in relation to the suspension of trading in the ordinary shares of RM1.00 each in KLB (“KLB Shares”). KLB wishes to announce that it had submitted an application to Bursa Securities on 29 January 2014 for a waiver from having to comply with the requirement to announce to Bursa Securities the Quarterly Results no later than 28 February 2014, as set out under Paragraph 9.22(1), Part K of the Listing Requirements (“Proposed Waiver”). As stated in the Offer Document, the Offeror does not intend to maintain the listing status of KLB regardless of the resultant collective shareholdings of the Offeror and the PAC in KLB after the completion of the Offer. Hence, pursuant to Paragraph 16.07(a), Part C of the Listing Requirements, the Company is allowed to withdraw its listing from the Official List of Bursa Securities since KLAS and the PAC’s holdings of the Voting Shares of KLB had exceeded 90% and the Company had on 16 January 2014 announced the Offeror’s intention not to maintain KLB’s listing status. As the trading of the KLB Shares had been suspended with effect from 9.00 a.m. on 27 January 2014 and it is expected that KLB will be officially de-listed from the Official List of Bursa Securities sometime in March 2014, the Company has sought the approval of Bursa Securities for the Proposed Waiver.
