Description	MUAR BAN LEE GROUP BERHAD ("MBL" OR THE "COMPANY") PROPOSED ACQUISITION BY MBL PLANTATION SDN BHD (“MBLPSB”), A WHOLLY OWNED SUBSIDIARY OF MBL, OF THE ENTIRE ISSUED AND PAID-UP ORDINARY SHARE CAPITAL OF SOKOR GEMILANG LADANG SDN BHD (“SGLSB”) AND NOVATION OF THE SUM OWING FROM THE CREDITORS OF SGLSB TO MBLPSB FOR A TOTAL CONSIDERATION OF RM24,750,000 TO BE SATISFIED BY CASH (“PROPOSED ACQUISITION”)
Reference is made to the announcements of the Company dated 15 March 2013, 21 June 2013, 16 August 2013, 19 August 2013, 1 November 2013 and 18 November 2013 ("Announcements") in relation to the Proposed Acquisition. Unless otherwise defined, the definitions set out in the Announcements shall apply herein. Further to the Announcements, Inter-Pacific Securities Sdn. Bhd., on behalf of the Board of Directors of MBL is pleased to announce that PPLRNK had approved SGLSB's appeal to waive the requirement on 30% bumiputra equity condition, vide its letter dated 16 December 2013 which was received on 17 December 2013. Hence, all the conditions precedent of the SSA dated 15 March 2013 have been satisfied and the SSA has become unconditional on 17 December 2013 ("Unconditional Date"). Pursuant to the terms of the SSA, MBLPSB shall settle the Balance Sum and the Sum Owing within two (2) months from the Unconditional Date. This announcement is dated 18 December 2013.
