The Board of Directors of Melati Ehsan Holdings Berhad ("Melati” or "the Company") wishes to announce that the Company intends to seek shareholders' approval for the following proposals at the forthcoming Ninth (9th) Annual General Meeting ("AGM") to be convened:- (a) Proposed renewal of the existing shareholders' mandate for recurrent related party transactions of a revenue or trading nature. In accordance with the Main Market Listing Requirements of the Bursa Malaysia Securities Berhad (“Bursa Securities”), the shareholders' mandate which was approved by the shareholders of the Company at the Eighth Annual General Meeting held on 27 February 2013 shall lapse at the conclusion of the forthcoming Ninth (9th) AGM, unless renewal is obtained. The proposed renewal mandate will enable the Company to enter into recurrent related party transactions for another year up to the next AGM in 2014. (b) Proposed renewal of the existing shareholders’ mandate for the Company to purchase its own shares on Bursa Securities of up to ten percent (10%) of the issued and paid-up share capital of the Company. A Circular to Shareholders setting out the details of the above proposals and the resolutions pertaining thereto will be despatched to the shareholders of Melati in due course. | |
