The Company refers to the advertisement of winding up petition appearing in the The Star newspaper on Thursday, 10 October 2013 pertaining to the winding up petition on MAEMODE (Kuala Lumpur High Court, Winding Up No. 28NCC-739-08/2013) and wish to announce that the details of the said winding up petition are as follows :- (1) Date of Presentation of Winding Up Petition and Date Winding Up Petition was served. The Board of Directors of the Company wishes to announce that the winding up petition against MAEMODE was presented via Kuala Lumpur High Court Winding Up No. 28NCC-739-08/2013 on 21 August 2013 by Yick Hoe Ferrous Steel Sdn Bhd (“the Petitioner”) and a copy was served to the Company on 3 September 2013. The hearing date for the winding up petition is fixed on 22 November 2013. (2) The particulars of the claim under the winding up petition, including the amount claimed for and the interest rate The Petitioner is alleging that the Company is indebted to the Petitioner for the sum of RM3,196,607.50 together with interest thereon at 18% per annum calculated from 13 May 2013 and RM177,751.80 together with interest thereon at 18% per annum calculated from 26 June 2013 respectively. (3) Details of the default or circumstances leading to the filing of the winding up petition against the Company The circumstances leading to the filing of the winding up petition against the Company was due to the default of the Company under a Letter of Guarantee and Indemnity dated 13 May 2013 where the Company had guaranteed as principal and agree thereon to pay all sums due and owing to Yick Hoe Ferrous Steel Sdn Bhd by Maruyatech Systems (M) Sdn Bhd amounting to RM3,196,607.50 and Matromatic Handling Systems (M) Sdn Bhd amounting to RM177,751.80 respectively. (4) The financial and operational impact of the winding up petition on the Group The winding up petition will not have any additional financial and operational impact on the Group. (5) The expected losses, if any, arising from the winding up petition The Company is not expected to incur any further loss arising from the winding up petition. (6) Steps taken and proposed to be taken in respect of the winding up petition The Company is seeking the necessary legal advice to resolve and/or defend against this matter. Further announcement on the development of the above matter will be made to Bursa Malaysia Securities Berhad in due course. This announcement is dated 11 October 2013.
