Further to the announcements dated 9 September 2013, 10 September 2013 and 11 September 2013 in relation to the Proposed Private Placement, Public Investment Bank Berhad ("PIVB"), on behalf of the Board of Directors of BHB ("Board"), is pleased to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had vide its letter dated 13 September 2013, approved the listing of and quotation for up to 21,480,500 new ordinary shares or RM1.00 each in BHB to be issued pursuant to the Proposed Private Placement ("Placement Shares") subject to the following conditions: (i) BHB and PIVB must fully comply with the relevant provisions under the Main Market Listing Requirements (“Main LR”) pertaining to the implementation of the Proposed Private Placement; (ii) BHB and PIVB to inform Bursa Securities upon the completion of the Proposed Private Placement; (iii) BHB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and (iv) PIVB must submit to Bursa Securities the placees’ details in accordance with Paragraph 6.15 of the Main LR as soon as practicable after each tranche of placement and before the listing of the new Shares to be issued pursuant to the Proposed Private Placement. The new ordinary shares to be issued pursuant to the Proposed Private Placement will be listed and quoted as the existing securities of the same class, and quotation of the new ordinary shares will commence on the next market day after the following: (a) submission of the share certificate together with a covering letter containing the summary of the corporate proposal to Bursa Malaysia Depository Sdn Bhd (“Bursa Depository”) before 10.00 a.m. on the market day prior to the listing date; (b) receipt of confirmation from Bursa Depository that the additional new Shares are ready for crediting into the respective account holders; and (c) an announcement in accordance to Paragraph 13.2 of Practice Note 28 is submitted via Bursa Link before 3.00 p.m. on the market day prior to the listing date.
