The Board of Directors of HHB wishes to announce that on 01.07.2013, a Letter of Demand (“Demand”) dated 01.07.2013 had been served on the Company by Messrs Adnan Sundra & Low (the “Solicitor”) acting for Standard Chartered Bank Malaysia Berhad (“SCB”) demanding payment of a sum of RM18,330,323.47 as at 26.06.2013 due and owing under the Banking Facilities granted by SCB. Particulars Amount (MYR) Amount paid by SCB to the Beneficiary 19,839,419.65 Bank Correspondence Charges 418,810.16 Other Charges and Interests 859,141.77 Sub-Total: 21,117,371.58 (Less) Sinking Fund (applied on 01.11.2012) (2,787,048.11) Total Outstanding as at 26.06.2013 18,330,323.47 The Banking Facilities was granted to Hexagon Tower Sdn Bhd (“HTSB”) (“In Liquidation) which was the wholly owned subsidiary company of HHB prior to its liquidation. The Facilities are secured by inter alia Letter of Set-Off dated 18.10.2007 and Letter of Negative Pledge dated 18.10.2007 executed by HTSB, a 3rd party 2nd legal Charge (Charge Presentation No. 33104/2010) executed and registered on 24.12.2010 by Polymer Composite Asia Sdn Bhd ("PCA"), a wholly owned subsidiary company of HTSB, an all Monies Corporate Guarantee dated 19.11.2010 executed by PCA and a Corporate Guarantee dated 17.09.2007 executed by HHB. The reason leading to the Demand was due to the winding up of HTSB which thereby committed an event of default under the Facilities and HHB has guaranteed the repayment on demand of all monies owing or incurred by HTSB to SCB pursuant to the Corporate Guarantee dated 17.09.2007 duly executed by HHB. HHB is given seven (7) days from the receipt of the Demand to pay the aforesaid sum and any part of the demand sum made to SCB shall be deemed received by SCB without prejudice to its rights to take any further actions as may be deemed necessary. HHB is in the midst of seeking legal advice to defend against the aforesaid Demand. If the Demand would subsequent crystallize, the potential liabilities would have financial and operation impact to the Company.
