ACQUISITION OF A WHOLLY-OWNED SUBSIDIARY IN MALAYSIA
Samchem Holdings Berhad ("SHB or the Company") wishes to announce that the Company has completed the acquisition of the remaining equity interest of 24% , representing 160,320 ordinary shares of RM1.00 each in SAMCHEM ENVIRO CYCLE SDN BHD (Company No. 771226-K). (“SAMCHEM ENVIRO CYCLE”) from Mr. Amirudin Bin Kasim and Madam Wee Chai Peng respectively for a total purchase consideration of RM224,448.00 and satisfied by cash. After the above acquisition, SAMCHEM ENVIRO CYCLE becomes a wholly-owned subsidiary company. 2. INFORMATION ON SUBSIDIARY Name of Subsidiary : SAMCHEM ENVIRO CYCLE SDN BHD
The acquisition will not have a material effect on the earnings per share and net assets per share of the Company for the financial year ending 31 December 2013. There is no impact on the share capital and substantial shareholders’ shareholdings in the Company as the acquisition is a cash transaction. The consideration will be funded by internally generated funds and that there are no liabilities to be assumed by the Company arising from the above acquisition.
Save for Ng Thin Poh who is the common director of SAMCHEM ENVIRO CYCLE, none of the other Directors and/or substantial shareholders of the Company and/or persons connected with him has any interest, direct or indirect, in the above acquisition. 5. PERCENTAGE RATIO OF THE ACQUISITION Pursuant to Paragraph 10.02(g) of the Main Market Listing Requirements of the Bursa Malaysia Securities Berhad, the highest percentage ratio of the Acquisition is 0.24%
