The Board of Directors of the Company wishes to announce that Kulim had on even date entered into a Sale and Purchase of Shares Agreement (“SSA”) with Danamin and its existing shareholders namely, Abd Majid Bin Abd Karim (“Abd Majid”), Syed Hashim Bin Syed Hassan (“Syed Hashim”) and Rostam Bin Othman (“Rostam”), collectively referred to as the “Vendors”, for a total cash consideration of RM12,894,690 as detailed below:- a) proposed acquisition of 1,059,000 Danamin shares equivalent to 60% of the existing issued and paid-up share capital of Danamin (“Sale Shares”) for a cash consideration of RM10,494,690 representing RM9.91 per Danamin Share (“Proposed Acquisition”); and b) proposed subscription of 2,400,000 new Danamin shares of RM1.00 each (equivalent to 60% of total new shares to be issued pursuant to the SSA) (“Subscription Shares”) for a cash consideration of RM2,400,000 (“Proposed Subscription”).
