| Description | MBf Holdings Berhad (“MBfH”) Take-over offer by Tor Private Limited, Nadin Holdings Sdn Bhd, Impact Action Sdn Bhd and Market Share Investments Limited (“Joint Offerors“) through Hong Leong Investment Bank Berhad (formerly known as MIMB Investment Bank Berhad) (“HLIB”) to acquire the following: (i) all the remaining ordinary shares of RM1.00 each in MBf Holdings Berhad (“MBfH”) (“MBfH Shares”) which are not already owned by the Joint Offerors; (ii) all the remaining warrants 2003/2013 (“Warrants”) not already owned by the Joint Offerors (“Offer Warrants”); and (iii) all the new MBfH Shares which may be issued prior to the closing of the Offer arising from the exercise of the outstanding Warrants, for a revised cash consideration of RM1.775 per MBfH Share and RM0.775 per Offer Warrant (“Second Revised Offer”) |
The Company wishes to announce that there is only 1 market day remaining to the close of the Offer by the Joint Offerors, on 26 April 2013. The Company will immediately thereafter proceed with the application to Bursa Malaysia Securities Berhad to delist the Company. In the event Bursa Malaysia Securities Berhad approves the application by the Company and the Joint Offerors do not achieve compulsory acquisition by the deadline on 26 April 2013, the remaining shareholders in the Company will hold shares in a non- listed company. Shareholders are also to note that any late acceptances, received but not verified by the Registrar by 26 April, 2013 may not be deemed as acceptance and therefore, will not be entitled to payment from the Offerors. It is therefore advisable that shareholders intending to accept the Offer, are advised to do so early. This announcement is dated 25 April 2013. | |
