Further to the announcement on 16 November 2012, Astro Malaysia Holdings Berhad (“AMH” or the “Company”) wishes to update the Exchange on Case 533, in which MEASAT Broadcast Network Systems Sdn Bhd (“MBNS”), a wholly owned subsidiary of the Company, is a defendant. The matter came on for mediation on 24 April 2013. MBNS attended this hearing, and at the hearing, MBNS was officially served with the statement of claim. The civil suit vide Case 533 is brought by PTDV for damages for an unlawful act (i.e. a tort) alleged to have been committed by Astro All Asia Networks Limited (“AAAN”), Astro Overseas Limited and certain of their affiliated companies (which are not part of the AMH group), certain individuals as well as MBNS (collectively, “Defendants”), arising from a dispute that arose in 2008 over a proposed DTH pay-TV business in Indonesia (“Proposed Indonesian Joint Venture”). PTDV claims on a joint and several basis from the Defendants for, amongst others, immaterial loss of USD20 billion and interest (“Claim”). The Company has been advised by Indonesian lawyers and is accordingly of the view that PTDV’s Claim against MBNS is not supported with valid grounds and the quantum of damages sought is unjustifiable. The Company wishes to further clarify that the Claim by PTDV is in relation to and stems from an on-going dispute in relation to the Proposed Indonesian Joint Venture which has been the subject of past litigation and arbitration proceedings since 2008 (as disclosed in section 15.7(ii) to (vi) of the Company’s Prospectus dated 21 September 2012). The arbitration proceedings, which were commenced in Singapore under the SIAC Rules concluded in favour of both MBNS and AAAN in final and binding SIAC Awards amounting to approximately USD303 million. The sums awarded in the SIAC Awards have not been paid by any of the Award Debtors including PTDV. The SIAC Awards are valid, binding and conclusive in terms of their existence and legal effect against PTDV as PTDV did not apply to set aside or challenge the enforceability of the awards in Singapore. Whilst PTDV did not challenge the enforceability of the SIAC Awards in Singapore, PT First Media, applied to refuse the enforcement of the SIAC Awards in Singapore. In a judgment which was released to the parties on 23 October 2012, the High Court of Singapore confirmed the enforceability of the SIAC Awards as a court judgment in Singapore. PT First Media’s appeal against the Singapore High Court judgment was heard before the Court of Appeal from 10 to 12 April 2013, and the Singapore Court of Appeal has since reserved judgment. To date, the Award Debtors including PTDV continue to take active steps to avoid making payment under the SIAC Awards which bind them under Singapore law and the Convention on the Recognition and Enforcement of Foreign Arbitral Awards. All abbreviations and definitions used here shall bear the same meanings as those used in the Prospectus unless otherwise stated. This announcement is dated 25 April 2013.
