We refer to the announcements made by the Joint Advisers on behalf of WCTB on 5 October 2012, 20 December 2012, 7 January 2013 and 13 February 2013 in relation to the Proposals. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the aforesaid announcements. On behalf of the Board, the Joint Advisers wish to announce that WCTB and WCTH have on 4 March 2013 entered into a Scheme Agreement which sets out, inter-alia, the terms relating to the implementation of the Proposed Securities Exchange and Proposed Transfer Listing via a scheme of arrangement under Section 176 of the Companies Act, 1967. Kindly refer to the announcement dated 5 October 2012 for further information on, inter-alia, the salient terms of the Scheme Agreement, the rationale and effects of the Proposals. The Scheme Agreement is available for inspection at the registered office of WCTB’s registered office at No. 12, Jalan Majistret U1/26, Seksyen U1, Lot 44, Hicom-Glenmarie Industrial Park, 40150 Shah Alam, Selangor Darul Ehsan, Malaysia during normal business hours from Mondays to Fridays (except for public holidays). | |
