Further to the announcement dated 28 February 2013 pertaining to the Proposed Share Buy-Back Renewal, the Board of Directors of the Company wishes to announce that the Company has been notified by PSB and the PACs that they intend to seek the Proposed Exemption under the Code. As PSB directly holds approximately 30.79% of the voting shares in MWE and together with the PACs, collectively hold approximately 31.51% voting shares in MWE as at 14 March 2013, the purchase of the Company of its own shares pursuant to the Proposed Share Buy-Back Renewal may trigger an obligation by PSB and the PACs to undertake a mandatory take-over offer on the remaining voting shares in MWE under the Code. As such, PSB and the PACs intend to apply to Securities Commission ("SC") for an exemption under the Code. Pursuant to the Code, the SC may consider granting the Proposed Exemption if the approval of the independent shareholders of the Company is obtained. Accordingly, the Company proposes to table the Proposed Share Buy-Back Renewal and Proposed Exemption at the forthcoming Extraordinary General Meeting immediately after the conclusion of the Annual General Meeting. The Proposed Share Buy-Back Renewal and Proposed Exemption are inter-conditional. We wish to inform that Inter-Pacific Securities Sdn Bhd and Alliance Investment Bank Berhad have been appointed as the Adviser for PSB and the PACs for the application for the Proposed Exemption to SC and Independent Adviser for the Proposed Exemption respectively. A circular containing the details of the Proposed Share Buy-Back Renewal and Proposed Exemption will be dispatched to the shareholders of the Company in due course. This announcement is dated 15 March 2013.
