The Board of Directors of GENT is pleased to announce that the Company and Genting Assets, Inc, an indirect wholly-owned subsidiary of the Company, have on 1 March 2013 entered into a purchase and sale agreement with Echelon Resorts, LLC ("Echelon") and Coast Hotels and Casinos, Inc ("Coast" and collectively with Echelon, the "Sellers") to acquire the Sellers' entire membership interests in 3000 LVBLVD Holdings-I, LLC and 3000 LVBLVD Holdings-II, LLC for a total cash consideration of USD350 million ("Acquisition"). Sime Darby Berhad (Sime Darby) wishes to announce that its wholly-owned subsidiary, Sime Darby Motors Sdn Bhd had, on 1 March 2013, acquired 2 ordinary shares of RM1.00 each in Timeless Diamond Sdn Bhd (TDSB), representing the entire issued and paid-up share capital of TDSB, from Tan Wang Tiang (1 ordinary share) and Ng Lui Keng @ Ng Joo Keng (1 ordinary share), for a total cash consideration of RM2.00 (Acquisition). TDSB was incorporated in Malaysia as a private limited company on 23 January 2013 with an authorised share capital of RM100,000 of which 2 ordinary shares of RM1.00 each have been issued and fully paid-up. The intended principal activity of TDSB is motor dealership in Malaysia. Pursuant to the Acquisition, TDSB will become an indirect wholly-owned subsidiary of Sime Darby. The Acquisition will not have a material effect on the earnings or net assets of the Sime Darby Group for the financial year ending 30 June 2013.
